1. Acceptance of Terms

By accessing or using Xcos (“the Service”), provided by Xcos Global (“we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. “You” refers to both you individually and the organisation you represent.

2. Description of Service

Xcos is an autonomous AI operating system for businesses. It provides conversational business intelligence, task execution, memory-driven decision support, and integration with third-party business tools. The Service operates through a web-based conversational interface and, in the future, additional channels.

Xcos uses artificial intelligence, including large language models, to process your queries and act on your behalf. While we strive for accuracy and reliability, AI outputs are probabilistic and should not be treated as a substitute for professional advice (legal, financial, medical, or otherwise).

3. Accounts & Access

To use the Service, you must create an account by providing a valid phone number and verifying it via one-time password (OTP). You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity under your account
  • Notifying us immediately of any unauthorised access

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Your Data

4.1 Data Ownership

You retain all rights to the data you provide to the Service (“Your Data”). We do not claim ownership of your business information, conversation content, documents, or any data you upload or generate through the Service.

4.2 Data Processing

We process Your Data solely to provide and improve the Service. This includes:

  • Storing and retrieving business context in our memory system
  • Sending data to AI model providers (e.g. Anthropic) to generate responses
  • Connecting to third-party services you authorise (e.g. Shopify, Razorpay)

4.3 Data Isolation

Your Data is logically isolated from other customers at the application and database level. Each business (tenant) has a dedicated data boundary. We do not share, sell, or use your data to train AI models.

4.4 Data Portability & Deletion

You can request export of your data or deletion of your account at any time through Account Settings. Upon account deletion, we will remove your personal data within 30 days, subject to any legal retention obligations. See our Privacy Policy for details.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the rights of others, including intellectual property rights
  • Transmit harmful, abusive, threatening, or discriminatory content
  • Attempt to gain unauthorised access to our systems or other users’ data
  • Reverse-engineer, decompile, or disassemble the Service
  • Use the Service to send unsolicited communications (spam)
  • Use the Service for any fraudulent or illegal activity
  • Circumvent rate limits, usage quotas, or security mechanisms
  • Resell or sublicense access to the Service without our written consent

6. AI Limitations & Disclaimers

Xcos uses AI to assist with business operations. You acknowledge and agree that:

  • AI outputs may be inaccurate. While we implement validation checks and guardrails, AI-generated content, analysis, and recommendations may contain errors. You are responsible for verifying AI outputs before acting on them.
  • Xcos does not provide professional advice. AI outputs are not a substitute for professional legal, financial, tax, medical, or other specialist advice. Always consult qualified professionals for critical decisions.
  • High-risk actions require your approval. Xcos is designed to request explicit human approval before executing irreversible or high-risk actions (e.g. sending money, committing pricing, external communications). You must review and approve such actions.
  • No guarantees of availability or performance. We strive for high availability but cannot guarantee uninterrupted service. AI model providers may experience outages beyond our control.

7. Billing & Payments

7.1 Subscriptions

The Service is offered on a subscription basis. Pricing, features, and limits are detailed on our pricing page. All prices are displayed in your local currency where supported, or in USD.

7.2 Payment Terms

Payments are processed through our payment provider (currently Razorpay). By subscribing, you authorise recurring charges at the applicable subscription rate. You are responsible for keeping your payment information current.

7.3 Cancellation & Refunds

You may cancel your subscription at any time through Account Settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods, except where required by applicable law.

7.4 Free Tier / Beta

We may offer free tiers or beta access with limited features and usage quotas. Free access may be modified or discontinued at any time with reasonable notice.

8. Intellectual Property

8.1 Our IP

The Service, including its software, design, branding, documentation, and underlying technology, is owned by Xcos Global and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

8.2 Your Content

You retain ownership of all content you create or upload. By using the Service, you grant us a limited, non-exclusive licence to process your content solely for the purpose of providing the Service.

8.3 AI-Generated Content

Content generated by Xcos in response to your queries belongs to you, subject to any limitations of applicable law. We do not claim ownership of AI-generated outputs produced on your behalf.

9. Third-Party Integrations

The Service allows you to connect third-party services (e.g. Shopify, Razorpay, HubSpot). When you connect an integration:

  • You authorise Xcos to access and act on data from that service on your behalf
  • You are responsible for compliance with that service’s terms of use
  • We are not responsible for the availability, accuracy, or actions of third-party services
  • You can disconnect any integration at any time through Settings

10. Termination

10.1 By You

You may delete your account at any time through Account Settings. Upon deletion, we will cease processing your data and remove personal data within 30 days.

10.2 By Us

We may suspend or terminate your access if you violate these Terms, fail to pay, or if we determine your use poses a risk to the Service or other users. We will provide reasonable notice where possible. In case of termination, you can request export of your data for up to 30 days.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 4, 6, 8, 11, 12, and 14) will remain in effect.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, profits, or business opportunities.
  • Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (including liability for fraud, gross negligence, or death/personal injury caused by negligence).

12. Indemnification

You agree to indemnify, defend, and hold harmless Xcos Global, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may delete your account before the effective date.

14. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts in Bangalore, India.

For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence. EU users may also bring proceedings in their local courts.

Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.
